Member Spotlight: EMD, Malta

Globalaw is kicking off its member spotlight series for its 30th Anniversary celebration. The first member firm, EMD, is from Malta. Recently, I had the pleasure of catching up with EMD's Pierre Mifsud and Lisa Vassallo. From the beginning, you could tell that EMD is a special place, with the kind of lawyers with whom we would all like to work. These are problem solvers committed to relationships, diversity, history and creativity.

As Lisa started talking, I could see the beautiful white tiled vault structure of their offices behind her - an office built into a historical building and located in Valletta, both the capital and one of the historical centres. Lisa's first words were about the clients who had just left - headed to a nearby restaurant to celebrate the project's successful conclusion, with which EMD was helping. EMD's pride in the relationships they build with clients was quickly apparent, as Lisa apologized for being a few minutes late as she'd had to beg off repeated lunch invitations and lots of hugs from that client to be able to make our meeting. As she spoke, the importance of EMD in their relationships with clients -their partnerships with those clients- was striking.

That focus on relationships goes beyond clients. EMD employs lawyers and staff from around the world and celebrates that diversity routinely. Whether through various lunches, where employees cook food to share from their native countries, or planned social events, the group is clearly based on relationships - relationships that allow firm members to work strategically across teams and provide the type of integration that makes legal advice seamless. EMD's substantive prowess is equally impressive. A recent example? Setting up a Ritz Carlton cruise line from scratch. Essentially, EMD has helped launch this entire operation: establishing physical offices for infrastructure support, financing and registering the vessels, providing corporate advice and assistance, drafting contracts, and developing key employment strategies, including work and residential permits. It is a multi-phased project; the first ship sailed last summer, with the next set to deliver in June of 2024 and with more ships to follow.

It is exactly the kind of project that shows the depth and breadth of EMD's lawyers and their ability to work so seamlessly between their varied teams.

And they do so not just in Malta. Given Malta's strategic location between Africa and Europe, it should be no surprise that EMD's lawyers have strong ties in both locations. Recognized by many as an ideal entry point to the European Union, companies from Africa and the Americas find strategic value in locating here. And the opposite is equally true, with EU firms using Malta to be closer to North Africa. EMD is well positioned to assist these companies as they use Malta's strategic location to better connect with both jurisdictions.

While I'm on the call, I'm already considering when I could visit - both to see this incredible island and its history and also to connect with EMD. But Malta is much more than a tourist destination. Malta has a strong local industry that focuses on financial services, shipping, aircraft maintenance, aircraft registration, and pharma manufacturing. I asked Pierre, one of the founding members of the firm (which will celebrate its 25th anniversary in 2025), why pharma? When registering their patents, he explained that the major drug companies often skipped Malta as "unimportant." But that meant that Malta became quite significant - essentially the land of opportunities for the generic drug companies to come in, stockpile and manufacture. It became a key entry point for pharma manufacturing in the rest of the world and underscores how a small jurisdiction can become a critical opportunity.

As we neared the end of our time, I asked Pierre if he had any last words of advice for the business person who had not worked in Malta recently. Pierre quickly responded, tying together both the legal and practical advice for which EMD is recognized and pointing to Malta's increased focus on the substance of companies trying to claim Malta as their home. With tax, anti-money laundering, and increased expectations of substantial involvement, things like physical presence, employees, and local board involvement have become increasingly important. And EMD can help sort through all of those issues.

In fact, EMD's creativity has gone beyond just legal services in supporting its clients. It formed a technology company to assist with the implementation, configuration, and maintenance of enterprise resource planning (ERP) systems. The company also developed its own software suite dealing with payroll and procurement, particularly for Libya (including the deductions and taxes that are required there).

Globalaw Foundation Supports Berlin Legal Aid Fund for Youth Welfare

Globalaw, a leading network of approximately 80 independent law firms in over 60 countries, announces that the Globalaw Foundation presented a donation of €5,000 to Berliner Rechtshilfefonds Jugendhilfe e.V. (BRJ) during the 2026 Globalaw EMEA Regional Meeting in Berlin, Germany.

Established over two decades ago, the BRJ is an ombudsman service in child and youth welfare, providing legal, professional, financial, and emotional support to young people and their families. The association is dedicated to balancing structural power between those who need assistance and those who provide it.

“BRJ combines access to justice, youth support and legal empowerment to assist and advise hundreds of new people each year,” said Peter J. Brown, Globalaw President and Partner at Edwards, Kenny & Bray LLP. “I’m thankful to our members for their generosity, which allowed the Globalaw Foundation to measurably advance BRJ’s mission through this donation.”

Contributing to local charities is a fundamental component of Globalaw’s event programming. Representatives from selected nonprofits are also invited to meet and network with Globalaw member firms, helping them raise awareness of their organisations and build ongoing connections and engagement.

Energy & RIGI Framework

    • Proyecto Vaca Muerta Sur (Vista Energy / Pluspetrol, USD 3 billion, ongoing) — Advised Vista Energy Argentina S.A.U. and Pluspetrol S.A. as shareholders of VMOS S.A.U., a midstream infrastructure company under Argentina's RIGI framework to transport and export crude oil from Vaca Muerta. Scope included shareholders' agreement, option agreements, and crude transport agreements.
    • Proyecto LNG — Southern Energy & San Matías Pipeline (Golar LNG, USD 15+ billion, ongoing) — Advised Golar LNG on two projects under Argentina's RIGI framework: a floating LNG production and export vessel (Southern Energy) and the San Matías Pipeline. Both projects involve a consortium of partners including Pan American Energy, YPF, Pampa Energía, and Harbour Energy, and include a 20-year agreement covering renegotiation of the shareholders' agreement and Bareboat Charter Agreement.

    M&A & Corporate

    • Fusión Ledesma (USD 5 million) — Lead legal adviser on the merger by absorption of Ledesma Frutas S.A. by Ledesma SAAI, including transaction documents, merger prospectus, and CNV/ByMA authorizations.
    • Fusión compañías de seguros — Grupo Galicia (September 2025, ongoing) — Advised on the corporate reorganization of five insurance companies within Grupo Galicia through two mergers by absorption, providing support on all corporate and regulatory matters, including obtaining approvals before the Superintendencia de Seguros de la Nación and the Inspección General de Justicia. Coordinated with tax advisors on all aspects relating to the tax-free reorganization.
    • Venta QatarEnergy / ExxonMobil Exploration Argentina (USD 1.7 billion) — Advised QatarEnergy on the sale of its 30% stake in ExxonMobil Exploration Argentina S.A. to Pluspetrol, covering assets in Neuquén province including pipeline participations in Oldelval.
    • Santa Juana Farmland Fund (USD 270 million+, ongoing) — Advised Santa Juana Ltd. on the divestment of agro-industrial assets across Argentina, Brazil, Paraguay, and Uruguay, addressing tax, FX, and regulatory restrictions applicable to foreign ownership of rural land.

    Banking & Capital Markets

    • IPO San Miguel S.A. (USD 58 million) — Advised on the IPO of 955,303,128 new shares listed on ByMA, including conversion of subordinated loans to equity. Organizer Bank: Santander; AR Partners and Puente also involved.
    • Fusión MatbaRofex-MAE / A3 (2024) — Advised Matba Rofex SA on its merger with Mercado Abierto Electrónico SA and the creation of the resulting entity A3 S.A., covering all corporate and regulatory aspects and obtaining authorizations before the Comisión Nacional de Valores and other regulatory bodies. Included filing before the national competition authority.
    • Préstamo Sindicado ACA (USD 80 million) — Acted as local Argentine counsel to FMO on a syndicated loan led by FMO and Rabobank for Asociación de Cooperativas Argentinas (ACA), one of Argentina's largest grain producers.

Austria’s New Rules on Settlement Permits for Cross-Border Workers

In the past, third-country citizens (citizens of a country outside of the European Union) always required a valid residence permit (“Niederlassungsbewilligung”) in order to obtain a work permit and be employed in Austria. As a consequence, many skilled workers, who were citizens of third countries and resided in regions close to the Austrian border, could not work in Austria, even if no suitable workforce was available on the Austrian labour market. Vacancies regularly remained unfilled, exacerbating the shortage of skilled workers in Austria. To address this shortage of skilled workers and to provide third-country citizens residing in neighbouring countries with access to the Austrian labour market, legislative measures have now been implemented in Austria.

Effective from 1 December 2025, a new settlement permit for ‘cross-border workers’ (“Aufenthaltsberechtigung Grenzgänger”) was introduced. The settlement permit for ‘cross-border workers’ is a combined work and settlement permit for individuals who reside in a country bordering Austria. It entitles the holder to stay in Austria temporarily for the purpose of employment without establishing a residence.

In order to obtain a settlement permit for ‘cross border workers’, the (future) employee must have a long-term residence permit with unrestricted access to the labour market in a neighbouring country of Austria. Consequently, certain individuals are not eligible, such as seasonal workers or students. Furthermore, the place of prospective employment must be located in an administrative district of Austria that borders the neighboring country directly. A further prerequisite for the granting of a settlement permit for ‘cross-border workers’ is a positive assessment by the Public Employment Agency, confirming that no suitable replacement worker is available on the Austrian labour market and that the general requirements for a national work permit are met. Finally, the employee must return to his main residence in the neighbouring country at least once a week. For example, a Japanese citizen, having a permanent residence- and work permit in Slovenia may work in the Austrian border region with Slovenia, provided that the other requirements are met.

An application for a settlement permit may be submitted to the competent residence authority at the (future) place of employment by either the employer or the employee him/herself. An employment contract and a statement from the employer confirming the employee’s (future) employment with him/her must be submitted with the application. The settlement permit is usually issued for a period of 12 months and can subsequently be renewed.

The introduction of this new status facilitates the recruiting of skilled workers in border regions and enables third-country nationals residing in a neighbouring country to access the Austrian labour market. It is expected that through this legislative measure, a contribution will be made towards addressing the shortage of skilled workers.
